Contract law

The Swiss Code of Obligations (CO) is Part Five of the Swiss Civil Code (CC), and is longer than the four other parts taken together. It governs the law of obligations.

The CO contains the provisions on the law of obligations, which are further supplemented by special laws. It governs legal relationships under the law of obligations between legal subjects (holders of subjective rights and obligations). It contains the legal bases for the exchange of assets, compensation in the event of damages and unjustified transfer of assets.

The law of obligations consist of a general and a special part; the first part (General provisions) contains provisions that apply to all obligations, whereas the second part (Various types of contracts; Article 184 and following, Code of Obligations) applies more particularly to certain types of contractual relations, such as:

purchase
exchange
rent
loan
consumer loan
agency contract
employment contract
power of attorney
business contract
payment instruction and warranty

Articles 530 and following cover company law, although other legislative acts (such as the Commercial Register Ordinance) must also be taken into account. Securities law is linked to company law.
